HitExchange TERMS OF USE

1. You acknowledge that HitExchange is a free service supported by members and sponsors.  The HitExchange HTML code at your web site will display banner advertisements from other members.  They include members who have purchased hit credits from HitExchange.  Other paid sponsors may advertise at the HitExchange web site itself, but not through the banner network.

2. You may not artificially inflate traffic to your site through devices, programs, collaboration with other members, or by other means.  You may not create multiple HitExchange accounts for the same web pages unless you obtain prior written consent from HitExchange.  You may not fabricate cheaters (members who break HitExchange rules) and report them to collect rewards.

3. All HitExchange HTML codes must be placed on your web pages in accordance with the 'Banner Display Rules' (available from the 'HTML code' section of your 'Account Overview' page).  You must insert the HTML codes into your web pages as instructed.  You may not include the HitExchange HTML code on any page that automatically reloads or redirects the user to another page without user interaction.

4. The following types of sites are NOT allowed to join the HitExchange banner network: sites containing or promoting pornography (in text or graphics); sites encouraging illegal activity and racism; sites providing instructions or permitting dialogs about conducting illegal activities; sites that promote unsolicited e-mail; sites that are otherwise inappropriate as determined by HitExchange.

5. HitExchange reserves all rights to the HitExchange name, logo, banners, web site, reports, databases, and software.  All materials associated with HitExchange are  protected by copyrights which are owned and controlled by HitExchange and may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without prior written consent from HitExchange. Modification of the materials or use of the materials for any other purpose is a violation of the copyrights and other proprietary rights.

6. You acknowledge and agree that your web site information may be published in association with the HitExchange web site, i.e. in the member's directory, on top ten lists, in tutorials, articles, or any promotional materials.

7. HitExchange services are provided "as is" and without warranties of any kind either express or implied. To the fullest extent permissible pursuant to applicable law, HitExchange disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. HitExchange does not warrant that the functions contained in the materials will be uninterrupted or error-free, or that defects will be corrected.  You (and not HitExchange) assume the entire cost of all necessary servicing, repair or correction. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

8. You agree to indemnify HitExchange and its staff, officers, employees, agents, distributors, and affiliates from or against any and all third party claims, demands, liabilities, costs, or expenses, including reasonable attorney's fees, resulting from your breach of any of the foregoing agreements, representations, and warranties.

9. HitExchange reserves the right to verify your compliance with this TERMS OF USE through any means necessary.  If you are determined by HitExchange to have violated this Terms of Use, then your account is subject to immediate and permanent termination without any obligation by HitExchange to redeem any earned or paid hit credits.

DO NOT defraud HitExchange or its members. DO NOT sabotage our banner network. DO NOT inflate hit credits or banner impressions by artificial means.

We reserve the right to cancel your membership at anytime.
